RECOMMENDATION: Recommend to the Board of Directors to:

Adopt Resolution No. OC SAN 22-34 entitled, "A Resolution of the Board of Directors of the Orange County Sanitation District Adopting a Revised Policy Regarding Board of Directors' Expense Reimbursement, Meeting Attendance and Compensation; and Repealing Resolution No. OCSD 18-20".

BACKGROUND

At the request of the Board Chairman, this Resolution is being updated to include the addition of compensable meetings conducted between the Board Chairman and other Board Members where business of the Orange County Sanitation District (OC San) is being discussed. In addition, the revised policy requires Board Members to submit a list of meetings attended, including a description of the purpose for each meeting and the date, time, and location of the meeting.

The Resolution is also being updated with housekeeping changes to reflect the organizational name change from "OCSD" and "District" to OC San.

* Comply with transparency and communication requirements, including the Brown Act

PROBLEM

OC San's current policy allows for paid compensation when a Board Member meets to discuss the business of OC San with a member of OC San staff, but does not provide clarity and guidance for the allowance of compensation when a Board Member meets with the Board Chairperson for the same purpose. Staff recommends adopting a new policy to ensure there is clear, consistent policy guidance that complies with all applicable laws and regulations.


PROPOSED SOLUTION

Adopt the updated Resolution to provide policy direction for staff and the Board of Directors to administer compensation approvals for Board Member meeting attendance.
